1. Acceptance of the terms
By accessing and using the services of Magister by QuadroDigitale (the “Service” or “we” hereafter), you agree to be bound by these Terms and Conditions. If you do not accept these terms, please do not use the Service.
2. Description of the service
Magister by QuadroDigitale provides business storytelling, copywriting, web development and digital content management services for businesses and craftspeople. Services include:
- Creation and management of online archives of business projects
- Writing case-study articles and editorial content
- Development of websites in plain HTML
- Creation of social media content
- Marketing and positioning consultancy
- Activation of advertising campaigns (optional module)
3. Client obligations
The client undertakes to:
- Provide accurate and truthful information about their business and documented projects
- Supply materials (photos, descriptions and approvals) within the agreed timescales
- Guarantee that they have the necessary rights to the images and content supplied
- Approve content before publication within a reasonable timeframe
- Make payments within the agreed timescales and using the agreed method
- Promptly communicate any changes or cancellations
4. Obligations of Magister by QuadroDigitale
Magister by QuadroDigitale undertakes to:
- Deliver the services with professionalism and care
- Meet the agreed delivery times
- Keep the client’s information confidential
- Adapt content according to the client’s instructions
- Provide technical and commercial support during the contractual relationship
- Guarantee that the developed code belongs to the client
5. Fees and payments
Monthly subscription
The service costs €400 per month, with a minimum term of 6 months. Payment is made monthly by bank transfer.
Initial setup phase
Any initial setup costs (analysis, landing page creation and publication of historical projects) are agreed separately and invoiced before work begins.
Optional marketing module
Advertising campaigns (Google Ads and social ads) are an optional module, priced case by case, in addition to the advertising budget paid directly to the platforms.
Invoicing
Invoices are issued monthly with the VAT number and must be settled within 30 days of issue. Late-payment interest may be applied in accordance with the law.
6. Contract term
The monthly subscription has a minimum term of 6 months. After this period, the agreement renews automatically month by month unless cancelled by email or certified email with 30 days’ notice.
The initial setup phase is subject to a separate agreement and does not automatically activate the monthly subscription.
7. Cancellation and withdrawal
Early withdrawal
If the client withdraws before the minimum 6-month term, they must pay the fees until the minimum term is complete.
Cancellation
Cancellation must be sent by email to studioquadrodigitale@gmail.com at least 30 days before the end of the current month. It takes effect at the end of the current month.
Service suspension
We reserve the right to suspend the service in the event of non-payment, breach of these terms or inappropriate behaviour by the client.
8. Intellectual property
Client content
The client retains ownership of all original content supplied (photos, copy and business materials). The client guarantees that they have the necessary rights to use these materials.
Content created by Magister by QuadroDigitale
The copy and web code created by Magister by QuadroDigitale become the client’s property once all payments have been made. Magister by QuadroDigitale retains the right to use the work in its portfolio unless otherwise agreed in writing.
Usage licence
The client grants Magister by QuadroDigitale a non-exclusive, royalty-free and perpetual licence to use the completed work in its portfolio and promotional materials, naming the client.
9. Confidentiality
Both parties undertake to keep confidential all commercial, technical and operational information shared during the relationship. Confidentiality remains in force after the agreement ends.
10. Limitation of liability
Magister by QuadroDigitale is not responsible for:
- Service interruptions caused by force majeure
- Loss of data not caused by our negligence
- Advertising campaign results, which depend on external factors
- Indirect or consequential damage arising from use of the service
Our total liability is limited to the amount paid by the client for the specific service.
11. Changes to the services
We reserve the right to change the services offered, prices or these terms with 30 days’ notice. Existing clients may continue under the previous terms until their current agreement expires.
12. Jurisdiction
For any dispute relating to these Terms and Conditions, the competent court is in Alessandria, Italy.
